Why piercing the veil should be the last resort

Abstract

Argues that piercing the corporate veil is unprincipled and should be abolished. Suggests how it allegedly represents an unsound deviation from Salomon v Salomon & Co Ltd (HL), and examines the revised formulation created by Petrodel Resources Ltd v Prest (SC), the deficiencies of its application in cases such as Rossendale BC v Hurstwood Properties (A) Ltd (CA), and whether sufficient protection for the parties exists without the doctrine.
